Hi Raghu,
As davorg suggested it is always better to use the HTML Parsers to do these kind of stuffs. You have missed 's' option modifier. Also use qr to quote regular expressions instead of manually backslashing everything.
use strict;
use warnings;
my $content = "<div class='roundedBoxBody'><p>
<table>sample table</table>
<p> </p></p>";
my $x = qr{<div class='roundedBoxBody'><p>};
my $y = qr{<p> </p></p>};
my $content_out = $1 if ($content =~ m|$x(.*)$y|s);
print $content_out;

Posts may use any of the Perl Monks Approved HTML tags. Currently these include the following:
<code> <a> <b> <big>
<blockquote> <br /> <dd>
<dl> <dt> <em> <font>
<h1> <h2> <h3> <h4>
<h5> <h6> <hr /> <i>
<li> <nbsp> <ol> <p>
<small> <strike> <strong>
<sub> <sup> <table>
<td> <th> <tr> <tt>
<u> <ul>
-
Snippets of code should be wrapped in
<code> tags not
<pre> tags. In fact, <pre>
tags should generally be avoided. If they must
be used, extreme care should be
taken to ensure that their contents do not
have long lines (<70 chars), in order to prevent
horizontal scrolling (and possible janitor
intervention).
